Using the Port of Sines (Portugal) as a case study, a project of the PRR, this speech highlights the challenges and impacts of reducing carbon emissions in port operations on the logistic chain. Especially with the worldwide efforts in combating climate change, the findings of the project can be applied to other seaports and can contribute to enabling transport and logistics companies to adapt to upcoming changes.

Proactive contracting in the context of EU CSDDD

The EU CSDDD underscores the necessity for companies to integrate sustainability into their policies and management systems, encompassing the identification, prevention, and mitigation of adverse human rights and environmental impacts. Proactive contract theory plays a crucial role in translating these abstract obligations into specific contracting practices, fostering shared responsibility and collaboration in supply chains. This speech is highlighting four ways to promote corporate sustainability due diligence in supply contracts through proactive contracting. A main aspect is therefore shifting from one-sided safeguarding to shared responsibility and collaboration, which concludes in contracts that are more balanced and fairer. Further promotive contract clauses, wherein goals are presented as opportunities and safeguards are expressed as rewards.

Dieser Vortrag beleuchtet die gesetzliche Haftung des Frachtführers bei Multimodaltransporte in solchen Fällen nach französischem und deutschem Recht.

Höhere Gewalt im internationalen Handel: Wann sind Lieferkettenstörungen (un)vorhersehbar?

Höhere Gewalt war lange Zeit ein wenig bedeutsames Thema. In den letzten Jahren aber wurde diese Rechtsfigur immer häufiger relevant und hat es bis in die Zeitungen gebracht: COVID, Suez-Blockade, Knappheit an Material und logistischen Ressourcen und Hutu-Angriffe auf Handelsschiffe sind Ereignisse der jüngeren Zeit, die weltweit Lieferanten an der vertragskonformen Erbringung ihrer Pflichten hinderten. Für den Verkäufer waren und sind solche Erschwernisse oft unvermeidbar und außerhalb der eigenen Kontrolle. Sind sie aber auch unvorhersehbar? Art. 79 CISG adressiert die Frage der (Un-)Vorhersehbarkeit ausdrücklich, ebenso die Musterklausel der ICC. Auch die UNIDROIT Principles grenzen in Art. 7.1.7 ähnlich ab. In diesem Vortrag befassen wir uns damit, was dem Verkäufer im internationalen Handel abverlangt wird, bevor er ggf. auf Entlastung nach den Grundsätzen der höheren Gewalt hoffen kann.
